Welcome to Coding Brothers ("Coding Brothers," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website located at codingbrothers.com and any related sub‑domains (collectively, the "Site"), as well as any information, content, features, products, or services made available through the Site (the "Services"). By accessing or using the Site or Services you agree to be bound by these Terms and our Privacy Policy (collectively, the "Agreement"). If you do not agree, do not access or use the Site.
1. Who May Use the Site
You must be at least 18 years old and have the legal capacity to enter into this Agreement. By using the Site, you represent and warrant that you meet these requirements.
2. Changes to These Terms
We may revise these Terms at any time in our sole discretion. Material changes will be posted on the Site and, where legally required, we will notify you by e‑mail or prominent notice. The "Effective Date" above will reflect the date of the latest revision. Continued use of the Site after changes become effective constitutes your acceptance of the revised Terms.
3. Use of the Site and Services
You may use the Site and Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable law or regulation;
- Copy, distribute, or disclose any part of the Site without our prior written consent;
- Access or tamper with non‑public areas of the Site, our computer systems, or the technical delivery systems of our providers;
- Interfere with, or attempt to interfere with, the proper working of the Site (including by introducing viruses, flooding, spamming, mail‑bombing, or scripting);
- Attempt to probe, scan, or test the vulnerability of our systems or networks without written authorization;
- Use any automated system, including "robots," "spiders," or "offline readers," to access the Site in a manner that sends more request messages than a human could reasonably produce in the same period.
We reserve the right to suspend or terminate your access to the Site for any violation of these Terms.
4. Intellectual Property
All content on the Site—including text, graphics, logos, software, and the compilation thereof—is owned by Coding Brothers or its licensors and is protected by copyright, trademark, and other laws. Nothing in these Terms grants you any right, title, or interest in the Site or its content except for the limited right to use the Site as expressly permitted.
4.1 Limited Licence
We grant you a limited, non‑exclusive, non‑transferable, and revocable licence to access and use the Site for your personal or internal business purposes. Any other use is prohibited without our prior written consent.
5. User Content
If you submit or upload any information, feedback, or materials to the Site ("User Content"), you grant Coding Brothers a worldwide, perpetual, irrevocable, royalty‑free licence to use, reproduce, modify, adapt, publish, translate, and distribute such User Content for the purpose of operating and improving the Site and Services. You represent that you have all rights necessary to grant this licence.
6. Third‑Party Links and Integrations
The Site may contain links to third‑party websites or services that we do not own or control. Coding Brothers is not responsible for the content, policies, or practices of any third party, and your use of third‑party sites is at your own risk.
7. Quotes, Proposals, and Paid Engagements
Any quotations, proposals, or statements of work ("SOWs") issued by Coding Brothers are valid for the period stated in the document (or 30 days if no period is stated) and are subject to separate, mutually executed agreements that govern the specific Services provided. In the event of a conflict between these Terms and an SOW or master services agreement ("MSA"), the SOW or MSA will control.
8. Payment Terms
For any paid Services not covered by a separate SOW or MSA, fees, billing cycles, and acceptable payment methods will be described on the Site or otherwise communicated to you. Unless otherwise stated, all fees are due within 15 days of invoice, are non‑refundable, and exclude all applicable taxes, which you agree to pay.
9. Confidentiality
If our engagement involves access to confidential information, each party agrees to protect the other party's confidential information with at least the same degree of care it uses to protect its own similar information, but in no event less than reasonable care. The foregoing does not apply to information that (a) is or becomes public through no fault of the receiving party; (b) was already lawfully in the receiving party's possession; (c) is independently developed; or (d) is required to be disclosed by law.
10. Disclaimer of Warranties
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." CODING BROTHERS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, SECURE, OR FREE FROM ERRORS OR HARMFUL COMPONENTS.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CODING BROTHERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOOD‑WILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (a) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR SERVICES; OR (b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE. IN NO EVENT WILL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE OR SERVICES EXCEED USD 100.
12. Indemnification
You agree to indemnify, defend, and hold harmless Coding Brothers and our directors, officers, employees, and agents from and against any and all claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your (i) use of the Site or Services, (ii) violation of these Terms, or (iii) violation of any rights of another.
13. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to its conflict‑of‑law provisions. You and Coding Brothers consent to the exclusive jurisdiction and venue of the state and federal courts located in Sacramento County, California for any dispute arising out of or relating to these Terms or the Site.
14. Dispute Resolution; Informal Process
Before filing any claim in court, you agree to first contact us at [email protected] and attempt to resolve the dispute informally. If we cannot resolve the dispute within 30 days, either party may proceed to court.
15. Termination
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason. The provisions of these Terms that by their nature should survive termination shall so survive, including intellectual‑property provisions, warranty disclaimers, limitations on liability, indemnity, and governing‑law provisions.
16. Compliance with Laws
You agree to comply with all applicable local, state, national, and international laws and regulations—including U.S. export‑control laws—when using the Site and Services.
17. Severability
If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
18. Entire Agreement
These Terms and any policies or guidelines posted on the Site constitute the entire agreement between you and Coding Brothers regarding the Site and Services and supersede all prior or contemporaneous communications.
